Legal Agreement

9. Limitation of Liability

To the maximum extent permitted by applicable law, Finsight shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of goodwill or reputation
• Cost of substitute goods or services
• Any other intangible losses

Our aggregate liability for all claims relating to our services shall not exceed the total amount paid by you to us in the twelve months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Consequential Damages Exclusion

Under no circumstances shall Finsight be held liable for any damage or loss resulting from your use of our services, including but not limited to damages resulting from reliance on information provided, delays or interruptions in service, viruses or other harmful components, or any other interactions with our services. You acknowledge that you use our services at your own risk and that Finsight is not responsible for any decisions you make based on information obtained through our services.

11. Force Majeure Provisions

Finsight shall not be liable for any failure or delay in performing our obligations under these terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials. During such events, our obligations will be suspended for the duration of the force majeure event.

Legal Information and Dispute Resolution

12. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without giving effect to any principles of conflicts of law. You agree that any legal action or proceeding arising out of or relating to these terms or your use of our services shall be instituted exclusively in the courts located in Mumbai, Maharashtra, India. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

13. Dispute Resolution Procedures

In the event of any dispute, controversy, or claim arising out of or relating to these terms or your use of our services, the parties agree to first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved through negotiation within thirty days, either party may pursue legal remedies. You agree to give us at least 30 days' written notice before initiating any legal proceeding, during which time we will attempt to resolve the matter informally.

14. Severability Clause

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent. If modification is not possible, the invalid provision shall be severed from these terms. The remaining provisions shall continue in full force and effect and shall not be affected by the invalid, illegal, or unenforceable provision or its severance.

Any attempted assignment in violation of this provision shall be null and void. We may assign or transfer our rights and obligations under these terms without restriction, including in connection with a merger, acquisition, sale of assets, or by operation of law. These terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

19. Survival of Terms

All provisions of these Terms and Conditions which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability. Termination of your access to our services does not relieve you of obligations incurred prior to termination.
